Dear Ms. Doe:

This letter of agreement outlines my understanding of our contract for IndexEmpire to index the book Marketing Your Editing Skills, based on our recent phone discussion.

  1. IndexEmpire Indexing Services retains copyright to the index. The copyright will be transferred to your organization upon payment in full for the services provided.
  2. I will receive the page proofs on Monday, July 29, and I agree to provide a finished index by Friday, August 9, which I will deliver by electronic mail on that date.
  3. I will receive payment of $3 per indexable page for 230 text pages for work done on this index. These pages include the main text, all photographs and illustrations, but not the bibliography or front matter. This is based on our discussion of the layout of the text. If, in my opinion, the text is substantially different from your description, then I will call you to discuss revising this rate. I would do this immediately upon receiving the proofs.
  4. Your specifications for the index are to follow the Chicago Manual of Style, 14th edition. The applicable requirements are marked on the attached “Index Specifications Worksheet.” Please review these specifications and make any changes you may have on or before Monday, August 5.
  5. Number and type of indexes: one index, with subjects, places, and names of major importance.
  6. Portions of text not indexed: front matter, bibliography.
  7. Delivery format: IndexEmpire will deliver the indexes by electronic mail transfer in Rich Text Format (RTF). If you have any problems or questions, please call.
  8. Invoices are payable within 15 days. Our usual practice is to apply interest if payment is not made within 30 days at an interest rate of 1.5 percent per month or partial month. No interest is due if payment is made by the 30th day.
  9. If you should decide not to pursue completion of this project for any reason, we will invoice you for work completed to that date, at the rate outlined above. A minimum payment of 25% of the contract is required in any event. Please call if you have any questions or changes to this letter of agreement. If this arrangement is acceptable to you, please sign below, keep a copy for yourself, and return this copy to me.
